Hey Victor, thanks for sharing! Joma Tech has some great videos but that's not ultimately where we found our inspiration :D. Our products were developed as a result of a problem that our founder had - the inability to upgrade his manual window shades to automated shades. Also, the market for automated window shades is deceptively large, as 92% of window shades are still manually controlled! There are still a lot of window shades out there that can be converted to smart shades with our devices.

Will those come out of the 51.7M shares outstanding or are those additional shares? Also, what will the raised funds (max $37.5M) be used for? Finally, are there any plans for future offerings?

Great questions, Rolian. When you invest, you are purchasing RYSE shares, which is a part ownership in our company. The difference between our stock and the stock of publicly listed companies is that we are not listed on an exchange. The goal for our company is either to be acquired or go public in the future, the former usually means that existing shareholders are bought out (hopefully at a premium!), the latter would make the shares liquid and tradeable. We are an early stage venture, so we encourage investors to have a long-term mindset when investing. While we cannot guarantee success, we hope to make our name synonymous with Smart Shades; if we succeed, we think the outcome could be very positive for investors! This might be a silly question but I just trying to understand that eventually all investors are hoping for a good return for their investment, so if the RYSE is very successful in the future (which I believe will be)- how the profits will be shared or distributed to the investors? thanks.

Not a silly question at all, Rolian. The idea behind any investment in equity is to either sell the shares at a price higher than the price you purchased them at, make income through the receipt of dividends, or both. We do not anticipate paying any dividends in the near future; becoming the one brand known for smart shades will take significant investment, so we'll need to re-invest all potential profits back into the business. Therefore an investor would most likely be looking for growth in share price and an exit opportunity, whether that's an acquisition of the company or a listing on a public stock exchange.

Hi Walkman, you will still own your shares in RYSE even if the scenarios you mentioned do not occur. There are no restrictions to selling your shares prior to these scenarios either, though it will be more difficult than if we are listed on a stock exchange. That said, our management team's main objective is to increase the value of the company and position ourselves for an acquisition or IPO. We believe these two outcomes have the potential to yield the highest returns for our investors, though we cannot make any guarantees.

Hey Daniel, great questions. 2022 was a transition year for us where we transitioned from our Gen 1 AXIS Gear product to our Gen 2 RYSE SmartShade. Sales in the first half of 2023 are similar to those in 2022, but we are expecting a significant jump in Q4 as a result of our retail store launch! We switched to a community funded round for many reasons; the main one being that we are a consumer electronics company, and the users of our product often times become investors and vice versa. Our objective is to build a strong brand, and building a community of investors (and users of our products) will help us in achieving this goal, while also fundraising growth capital for the company.

They are reinterred with the SEC and are well-known in the industry for facilitating private investment offerings. You will be able to download your share statement electronically or access it through your account anytime after making the investment.

Most cellular shades I’ve seen (including my homes) have a single string to raise and lower (no loop). Will your product be compatible with these types of shades? I'm encouraged that your roadmap includes future products to automate blinds and cordless shades. However, the patents listed here seem relevant mainly to shades with continuous cord loops. Do you have IP relevant to those other product types? How will your upcoming blind product compare with something like the Sunsa Wand?

Absolutely, Ronald! We have filed patents for our new SmartCurtain product, however they are not available for public viewing yet. We have also started the R&D phase for our upcoming blinds product, and will share more information about this product as we near closer to a prototype.
