all speculation and out of question. NT is $5 billion market cap, likely $7 to 8 billion purchase price. 4 billion in debt with gazillion product lines losing share. Add to that liability of 36000 employees. telecom spending is reducing. us recession on the horizon. cut throat asia market.

nah no way if I were CEO looking to buy. If I really had to then I would wait a year and get it all for half the price.

Thor, listen to your rambiling because its nonense. Microsoft does not need to acquire to get into the infrastructure business because its not a core area for them. Secondly why lock into one vendor when they can negotiate and partner with any vendor willing to hop into bed with them.

Cisco has 80% you say. Who cares about Nortel's 2% and how do you think its challenge when there is no leading edge product. Probably you are parroting internal nortel spin. Micorosft already has partnerships with Cisco and Alcatel. Once it has what it needs they will end the partnership. They also do not need a double OEM with Polycom and others OEM via Nortel.

there are no friends in this business - hopefully you realize that by now.

Thor I own both Cisco and Nortel and we all know which ones tanking so fast that it is at penny stock levels in 2002. As for you its probably the Titanic and we all know where that went. So people like you will say anything, do anything to show value, just hoping and praying that someone takes you out of your misery, get off the boat to safety.

Come on if Cisco makes 70% margin then go get them on your own. Why burden Microsoft and think things will change overnight. Nortel is no saint either on margins - lets face it Cisco executes much better. So do leaders like Microsoft, IBM and host of other companies, not the crap that probably goes on at Nortel.

Nbody wants losers. And we all know the expertise with which Nortel killed most of ts acquisitions. So about money exactly my point. Nobody buys sick racehorses. They are put down and that is what will happen in 6 mths to a year.

I have seen first hand how things get handed over. no transfer. send the difficult issues over. keep complaining and whining about how bad offshore teams do.

if it was really crappy in India, China etc. nobody would be doing business there. probably was crappy software to begin with. and yes i know many so called experienced engineers duplicating code. they would not survive for more than 2 months anywhere else. if they manage to get past an interview.

There is a layoff going on now estimated at 10-15%. This is from the cuts announced last year. Most analysts are slashing ratings to between $8 and $10. Comment of becoming second tier only tells me of where this is headed.

Z's bible is Good to Great. He should write a book on Good to Nothing. Testimonials from his good for nothing cabinet will make it a sell.

close observer you are dead on. this will get cheaper to buy in a year or two. the us recession is going to kill most top line revenues. and its too late for nortel to look at emerging markets. they cannot make a profit in the cutthroat asian market.

africa and middle east have gone to resource hungry china. india, china and most of asia is the mining field of Huawei, ZTE, Fujitsu, Alcatel, Ericcsson and bit Cisco. Rest is fragemented across NEC, 3Com, Hitachi, Juniper etc.

the popular word within the company is No for everything.

it does not matter whether least effective or most effective. the lean six sigma ironically is to make the company leaner. so irrespective of how one performs there will be a layoff coming almost every quarter. each manager will to identify one person. even if there is a ton of least effectives somewhere else it does not matter.

you have airmiles but do not use it because there is no opportunity to do so. you keep saving for that fantastic trip. then one day they send you a letter that you use them or loose them because on account inactivity. so you still cannot get a ticket but you have to use it. then you just buy any junk that you can get for the number of miles you have.

now translate to tax credits.

you have tax losses that can be subtracted. but this is kept until major profits are made because you expect to do so. now that never happens. so one day you wake up to the fact that they will expire. in this context, a merger, a breakup or bankruptcy. then the easiest thing to do is clean the books and settle them by taking out huge losses. in accounting its called throwing out the bathwater by maximizing all the bad news in one quarter. however, the writing on the wall is that the baby is going to get thrown out too.

I tried posting on the Nortel Roese blog but they screened my comment out. John Roese talked about all competitors declining in stock price. Some people believed the song, dance, smoke and mirrors. But Er! check this out John to see your regime's contribution for last 2 years.

I am showing this that yes others declined due to market conditions, recession fears and telecom industry, but no other company has evaporated as much value as Nortel. Now you can say this is a oranges to apples comparison. I'd say there is no comparison now in terms of market cap, revenue ratio to market cap and net profit. This is a has been which cannot survive in a Tech 2.0 world.

Fantastic work. Give yourselves a round of applause with another bonus. Start working on your plan to reach Extreme's market cap. Analysts on the other hand do not know what is going on. Their's is a number crunching game which changes just days before or after results are announced.

anybody with a patent gets my respect. all companies take over patents filed by employees so its not just nortel. if you cannot sign them over maybe you should work for yourself.

weird philosophy as its typical job saving, no sharing or hold the cards to the chest mentality, so its good you are working on your own. such people do not survive in industry. nobody likes working with them.

do agree on one point which is profit sharing as an incentive. some companies do that well. some like NT do not either because they do not know how to monetize it or cannot afford it. same thing with university research. its all owned by the institution or sponsor. same thing with startups. no startup is going to just let their employees take precious patents to a competitor.

again it has nothing to do with americans, canadians, asians etc. you have a warped mind of the world. we all know how Tesla got screwed over by the americans if you really want to go there.

actually here is a suggestion to Z-eroman on reducing costs. layoff all the VP's, promote one level, fire all the senior managers and line managers replacing with very talented team leaders. Also make certification as well as testing mandatory for the workforce. if you cannot code too bad. i have seen enough hoorror stories of 'experience', 'architects', 'team leaders' who cannot write an iota of code.

so the walmart of telecom now wants to focus. good. however need to see commitment on this long term. usually these strategies change very quickly as we have seen in the past. products getting canned. getting out of access and then trying to rush in. hope the shrinkage will be focused and profitable.

only issue with partners. too many of them as well which should shrink too so that key profitable partnerships are kept, nourished and harvested. presently even the partnerships are so many to stick their fingers into everything.

pretty much bad news 2-5 year term for Canada. narrow focus translates to very niche specialized skills. sense a move out of the crown jewel Ottawa campus to a smaller site.

growing corn is too expensive. so easier to lay off low cost employees 10:1 ratio and get them to run or bike around campus to generate electric power. Z is also investing in little pedal machines to drive the computers. so as soon as they stop producing power he will know which employees are not productive. would be easy to tell as on most days it will be lights out in most of the building windows.

likely what will happen is Nortel will get this into their installed base after which Cisco, Avaya or even Juniper will buy them. then the Nortel gear will slowly disappear. been there, done that and seen a t-shirt 'losers'.

its sad to see where this company is going. everything is outsourced or partnered. rather than vendor they are more like a system integrator and reseller now. maybe thats the only value as Nortel does have such an attractive cash cow installed base.

True analysts need to follow the rules of one question. I have been on conference calls for many companies. Analysts ask a few questions and usually the CEO or CFO delicately handles that politely.

Being rude is not acceptable as it only turns investors off the company, especialy from PR, media relations people. Obviously these people cannot handle it either the pressure, hostility towards the media for Nortel bashing or just attitude. She could have done better handling this as its a very poor snub.

Optical 5000 ring a bell. great finternal anfare to outsource to flex then insourced since it was pathethic. only the original team was disbande. hurrah! ibm is hiring but low end fresh grads or 2 years experience. that cannot match the years of experience out here.

what do they expect the work flow to be. Nortel - Wipro / Infy - Nortel - IBM - Nortel - Wipro / Infy - Nortel for development activties? Sounds like long hours, very lengthy cycle time not to mention a whole bunch of frustrated engineers and managers.

I am sure some quick talking exec looks like a hero in Nortel. Only he wont be around to face the music when this whole thing goes bad.

this is nothing more than a cash grab. old debt has to be retired. but rather than pay it down it is about taking debt in fact increasing the debt portion by 175 million. an old proverb comes to mind - rob peter to pay paul. look at the net cash. this pig is losing 300 million a year. look at net cash flows and total accumalated debt then come back with your stupid rants. its buried in debt and very soon this pig is going to be on somebodys table ready to be carved up.

I dont think the Gov of Canada will prevent or step between someone acquiring Nortel. They do not do a lot of defense as well so nothing strategic. As for acquirer, somebody with deep pockets. This is not possible at least on the next 3 year horizon. MSFT is totally focused on twisting Yahoo around. Cisco has become too big. Others are making small acquisitions. Its too expensive when you see a $9-10 price tage, $7 billion debt. Thats like buying the co for $10 to 12 billion.

For what ??? there are a lot of valuable companies to buy for that price. pretty much a Nortel can be built for cheaper.

6/10 layers. phoeey. Jackass Z should know by know all the useless VPs and Directors accumalated in the organization. Directors are demoted and put into a team with peers at a manager level. Salaries etc. all remain the same. Senior management / executives laid off mysteriously find jobs crafted specially for them at the same level. hundreds of people with no skills are kept on as acting managers or project managers or architects. we all know by know Z and his band of stooges are not here to turnaround, change or make a profit. They ae here to make as much money as they never did before by setting themselves up with huge pensions once they leave the company in two years.

this company is DEAAAAAAAD. they have just moved next gen projects under CTO which will be killed off. tons of redundant products developed in multiple organziations. this bean counting turd and his cronies will go where no previous Nortel CEO has gone before. Bankruptcy is surely going to happen.

Z has made this company a total mess. no leading lines or segments. what should i cut. where should i invest. crap. there is nothing that can be done. hmmm lets see. trumpet hyperconnectivity. PBT is failing. MetroNext is going to be canned. wireless is almost in the toilet. hmmm hyperconnectivty. thats the only way. appear confident. beat the drum.

build up my profile so I can be hired in 2 years when this is over.

look i stuck around for 15 years thinking this company would turn around. /i have seen 6 CEOs but nothing. they kept saying this is the best time to buy the stock. good deal. I lost close to 100K in retirement, options, investments. my stock options are useless. they are priced at $1200 some at $400 others at $39 all worth nothing.

i took the package and left. at least money i could get. some folks are not going to be that lucky as they will be transferred without packages. some will stick around but may get a reduced package. hear money is tight at Nortel and they are desperate.

take the plunge. if you have thought of leaving now is the time. there is life after Nortel but at least you will not have the negativity, uncertainity and hopeless environment to work in.

Disgusted is right in a way. I dont think 10,000 more jobs should be axed bu somewhere around 2500. there are a ton of people who work only from 10-3pm not even the minimum 8 hours. most of these people are in Ottawa, Canada. you can never get them at their desk. they claim working from home but cannot be reached at the number provided. no response to email either. takes an entire day to get a response when they actually are in the office. this affects productivity as we have to cover. these people are in engineering, some in supply chain, some in services, some in marketing. every function. complacency has set in. people do not care anymore.

people with huge fat salaries are still sitting around. although laid off 3 or 4 times they stil miraculously found something in the company due to internal contacts. they make over 150K because i am talking director level. they have accepted demotion working as junior managers but still keeping benefits, salary they are entitled to.

am told its only some enterprise products that are better. thats what Nortel is marketing. its other carrier products like optical, switches and routers actually suck a lot more energy as customers have complained about it. thats being kept quiet. only a matter of time before Cisco starts snarling to drown out Nortel. they are only poking a sleeping tiger right now.

All said and done it looks unlikely that IBM will do this. That means their relationships with Cisco, EMC etc. will be in jeopardy. What do they get out of this - $4 billion price tag, $10 billion debt, $300 million cash burn, $10 billion revenue with no profit.

IBM-Nortel will become like Alcatel-Lucent. Catch a falling knife and you are bound to be cut.

MEN gone. Actually it never made sense to have it as a separate business unit and cloning entire product lines. That was Mr. Moron's thought process to get himself promoted to President. Carrier is dead with almost every wireless business decimated. Enterprise is flat but in todays world its going to be a done deal so it will go to Siemens or vice versa with a spin out.

Past few years Nortels just been doing JVs so pretty much the writing was on the wall. It can finally call itself NOTEL because it has nothing.

possible that the banks are already coming after Nortel. with the $10 billion in debt, creditors would want a piece especially a 'priced' aset before they sell it off, breakup the company, plunder it for bonuses and then leave a bankrupt shell.

its possible the unit does not sell. a high possibility that no-one will buy the entire unit since its mixed with legacy and optical. if they do, the buyer will almost likely have to dump the legacy stuff. Nortel being Nortel would want to sell the whole thing, would want major bucks, probably a stake ... time will pass, sales will dip, the priced asset will be worth less.

nobody is going to shell out $1.5 billion in sweet cash for the unit. Nortel needs cash so will not take equity. they will not take a reverse acquisition. markets have slowed. capital not easy to get. no debt available. junk bonds maxed out. no gov bailout either.

its going down to $1 / share. its over.

yes but the Nortel position is catastrophic. vendors like extreme, tellabs, ciena etc. are small with limited portfolios. extreme is ethernet, tellabs a bit optical but mostly multi service and ciena in optical. to be fair to them, they are facing a crunch.

nortel on the other hand has no excuse. with enterprise, wireless and wireline including optical, its a question what management was sitting and doing. bad economy, slowing decisions, consolidating carriers cannot be used as an excuse. Thats what Z would have you believe. What was Zero man doing when Ciena was exploding with optical, or Tellabs replacing Nortel gear or Fujitsu stealing optical share or Alcatel / Ericsson / Nokia taking away wireless share.

He was sleeping at the wheel. Too busy jetting around maybe. Do not downplay the seriousness of Nortels problems with the rest of the industry. Zero man should be fired.

Nortel employees - if you had any guts make a nice t-shirt with a nice big Z for Zeroman Z.

nobody cares. who would buy layer 2 solutions when everything out there is layer 3. if cisco buys they will kill layer 2. so will alcatel. there are smaller ethernet layer 2 players with both pbt and mpls unlike nortel.

jds looks to be interested but they are in a worse position that ma nortel. the others cannot afford to hand out a 1.5 billion cheque. remember this will be an all cash deal not just stock.

they would have had better value by selling off the enterprise unit to microsoft. but i guess that would be too intelligent for them.

could be private equity. not too many buyers can make the cut. the usualy suspects below. its going to be tough to sell for an all cash deal. if its a garage sale then maybe a different story. but that means Nortel loses on the deal if it breaks up MEN and sells it in pieces.

JDS - weak so no no
Ericsson - focused mostly on wireless so unlikely
Ciena - too small so may only want optical piece
Huawei - bound to be blocked by government. Say goodbye to contracts.
Cisco - likely to bef up optical story
Alcatel - cannot at this time
Nokia - pure wireless play, not interested
Tellabs - in as much or deeper doo doo
Flextronics - maybe if they vertically integrate but challenging
Fujitsu - likely to get optical technology and footprint

Clint if you are referring to me then explicityl say so. you must be one of thos meek Canadians. what i mean was there are not a whole lot of companies who can write a 1.5 billion cheque.

anybody buying needs to be in good shape to take advantage of portfolio. the only thing atractive is 40G/100G but thats about it. The rest is all legacy layer 2 stuff losing market share or almost obsolete. MERS 8600 come on. POS. Passport come on POS. Next Gen Ethernet. Canned. Optical 5K legacy. Smaller optical platforms. OEM'd.

It all depends upon what Nortel is willing to do. I would not buy all the legacy business unless its a fire sale. Nobody will. So the deal will have to reduce to around $1 billion or so.

also keep in mind the MEN business does not have that great margins. With the slowing market it will only get worse, meaning someone with deep pockets has to buy it.

Its going to be a tough sale and my wet finger guesstimate is close to $1 billion tops in cash with some equity. I know where people like Morin come from. Its just the poor desperate salesmanship to get others to jump onto the bandwagon since this prized asset may be gone.

What would be really amazing is when these Nortel execs move over to the new company. They will make a total mess of their business. So I'd short their stock as well. Its guaranteed.

Clint, I know from my friends whose companies were acquired. What happens is they offer you a package or a transfer to the new company with minimum one year guarantee. If you take the latter, you sign the papers. After one year if you are in the lucky few things continue. If not its bye bye.

Most people take the one year guarantee, which is also not so bad if you plan on leaving.

Mark, its natural because its Nortel. MEN was formed with different products including the optical business, a cloned version of Enterprise Ethernet switch 8600, legacy ATM switch products and a data center product. They started a new next generation ethernet switch with a redundant program in Enterprise, which has been canned. The data center product was also canned. ATM legacy is dead as it was starved as all investment went to Neptune that was canned.

Anybody buying will mainly go for the optical piece. The ethernet switch product if sold will be tricky as Nortel Enterprise has all the patents etc. Legal and contract nightmare. ATM product is dead. Prior to MEN, optical was part of the carrier division. Morin did an excellent job creating a story to get himself promoted to President. Z of course did not know better since he is not a telecom guy.

What can I say. To bring back the previous marketing: This is the way. This is Nortel.

hey Bo er! get your act together. Enterprise Ethernet you nuts. The carrier ethernet platform is the same at Nortel. They created this whole PBT story on it. Enterprise is cloning it. So there is no difference.

I am amazed Morin says way too many players for 3 years. yes its true but he convinced Z to make a whole new division as he sold a story that it was growing, market was exploding yadda yadda yadda. in reality nothing significant. Nortel lost optical share. it only leads in wdm which is a tiny percentage of the entire optical market.

I shudder to think of application services focus. this is coming from Roeses new vision for Nortel to become a Microsoft, HP or an IBM. I guess thats very crowded with companies staring at each other and gorillas like Cisco getting in.

Why acquire legacy ethernet technology from Nortel when small players like Extreme, Ciena, Tellabs can all be snapped up to get the same type of portfolio. As things slow down their valuations will fall making them attractive buys.

A bold move would have been to sell off the wireless biz when Nortel killed off GSM, sold off UMTS, killed WiMax and lost share in CDMA. With 60% of revenues they could easily have got 3-4 billion cash selling to Alcatel, Ericsson and Nokia.

With wireless dead there is nothing carrier in Nortel anymore after MEN goes. It will be purely Enterprise but what is it composed of? old Baystack oops. OEM from Polycom for Telepresence. that relationship can change in a heartbat. Unified Communications. ok cool but its quite competitive. The technology is going to Microsoft anyways. Ethernet but then enterprise usually buys from carriers. VOIP phones. Aah a commodity compared to Avaya, Cisco, Polycom, Aastra.

This will radically change Nortel as it has been a carrier focused company for 30 years. Carrier was the core. Not anymore. Even being ex nortel I know this wil kill whats left of the company.

the rudders blew off (when Z came on board). engines caught fire (when Hack and the other cronies arrived). mechanical problems (with six sigma etc). cockpit computers a mess (so pilot Z cannot navigate).

Z should never have been CEO but President of Operations. That was his focus, maybe strengths. He is not a visionary. He does not know the industry. He dos not have the rapport with customers as the company head.

20/20 hindsight but I guess there was not much of an option with noone prepared to come to the helm at Nortel. I dont realy think he did much or changed much. Bill Ownes had already settled down the numbers and accounting, brought in people to oversee compliance etc.

Z only clouded the picture with 6 sigma etc. which just spent money and resources taking time away from things that had to be done at a product level. too many hot shots trying to prove they knew what was best with glossy presentations, meetings and internal politiking.

All those six sigma black belts (master, slave) and green belts wish you luck. At least you got expensive training and certification for free.

undervalued???? probably that is its true value. what else can you expect from this company? come on this is just analyst crap. it was undervalued at 30, 25, 15, 10, 8 ... it just dropped like a rock because it is probably a rock that deserves to sit at the bottom of the ocean.

most customers and competitors consider Nortel to be less and less relevant as a vendor. Unlike the analysts, I'd say it will go to under $2 in some time.

I have options valued at $1200. I am thinking of wiping my butt with it in the morning to send it by courier to Z.

why dont you go counsel Hackney. this is reality. no need to get so emotional. this is the true value of nortel. hardworking maybe some. as far as i know most work has stopped. people gave up a long time ago. nobody cares. there are some people who work hard ok. but working hard does not mean a thing when your products do not get to market, they fail miserably or it lags the competition.

I met one startup. they have a product developed in 8 months with jsut 20 people. Nortel tries the same thing with 2 years and 100 people and failed miserably. so question is working smarter not harder.

many people in Nortel cannot even code the so called team leaders, architects.

well, ironic thing is a couple of months ago I said this stock was down to be on par with Tellabs and that it would go lower to meet Extreme, Ciena in market cap. It is now below Tellabs approaching Ciena which is 754 million. Extreme is at 250 million.

going private makes sense at this point. provided its done right. meaning restructure properly, get rid of fat and deadwood, streamline operations and give employees some stock. then in 2-3 years go for an IPO.

another reason is public view of its books and competition. customers will never buy from a business going down in revenue and share.

in fact take it private, file chapter 11, fire Z and gang as well as deadbeat management, then restructure. employees on the ground know better than Z on what is needed at the company. empower them.

keep your chin up buddy. I was in the same situation but I took off - could not take the crap anymore. i had the nortel tattoo on my chest but after years of listening to management bs with no accountabiltiy, I made the decision that there is no point continuing.

if you get the option to leave take it but until then keep going. it is negative inside and although they say misery loves company, talk to your friends about it to let it out. its impossible or even detrimental to keep it all inside.

I would disagree on working your ass off. just do your job but nothing more. working your ass off does not work in nortel because there are a lot of people who are sharks who will take credit for what you do.

dont waste your time on management. they will not answer or be accountable. that would only send up a red flag on you. so it depends.s if you want the check then rock the boat, stir the pot - they will get rid of you. if you want to stay, then keep going under the radar with no excuses for someone to point out problems in performance.

one thing you absolutely must do is plan your finances. if you are strong there then you are prepared for whatever comes your way. my formula is if you are ready for the worst then anything better is still hlf glass full and positive. bonus if its money. do not waive or defer any payments to next year. cash out in full if you need to.

I have a strong feeling too that bankruptcy is around the corner. with just 2.5 billion in cash, 6+ billion in debt, floundering sales and almost zero stock value, creditors will start calling. nobody will rush to buy optical until nortel goes past tipping point when panic pushes valuation even lower. by then it will be too late.

My timeframe would be Jan-Mar 2009. by then nortel would have burnt through another 400 million in cash. stock would be under a buck.

Clint must be an exec or a new hire. Less said about the commonalities the better.

Severance can get mixed into bankruptcy because it is not set aside in escrow. if the company goes down so do the severances, pensions, payroll. with junk bond status, penny stock state this is heading for a lockout meaning the company cannot continue its biz. with the size of debt, they will have to restructure under bankruptcy protection from creditors. this includes creditors, shareholders and employees.

creditors will start bailing and call in for debt owed. in about a month you will see enormous pressure on nortel. sad but true.

any investment bankers here. can you comment on a market cap that is a quarter of total cash on hand and less than a tenth of total revenue. dont see this happen unless the company is getting wiped out like the financials.

if I had the money I'd do this. but its not possible to buy 51% now as shares are fragmented across a lot of investment funds who will not sell. but also a lot of laws including labor laws.

it could be happening. by law there has to be adequate notice to employees which they have given prior to transferring assets / employees over.

where is the article that Canada will extend cash to Nortel. taxpayers will oppose a 'bailout'. there is no such public announcement. oh so now the bad economy has been poor for 3 years.

carrier infrastructure is what has made Nortel. it made blunders selling off access which became key. selling off a major carrier division is another blunder that will be felt 2 years from now. John Roese says selling MEN has been a 2 year process. well 2 years ago they created MEN for high growth, touted it as the future of Nortel blah blah blah. Now the rhetoric is applications and software. well why keep wireless around then. and all that enterprise routing for that matter? Services will be be broken up to follow business unit sales unless Nortel is going to carry the burden of tech support etc.

Ok for getting into apps, you need major acquisitions with skin in the game. You need the right people. You cannot do everything alone but also cannot leave it to partners like Microsoft who will chew you out and spit you out like bubblegum once the sweetness is gone. Neither can you do it by outsourcing everything. You need a brand with your own competency instead of depending on partners to do it all for you.

Nortel is nowhere in web 2.0. nowhere in apps. all it has is UC most of it OEM. by the time it builds this as a competency its too late. and even if it does, all these apps will run over infrastructure.

it would be easier to just spin out a business unit, seed them with capital, take an equity stake and get things rolling much faster outside of Nortel rather than stifle it inside corporate Nortel.

there is always terrifc stuff coming out of Nortel. But this is an example of dud management. Nortel probably made $0 on this. Why? because they probably exited, gave up rights on the patents or could not monetize it.

Nortel had patents on fucntionality seen today in VOIP, iPhone, RIM email, touchscreen devices etc. I knew the guys in advanced tech who built prototypes. Nortel had iPhone technology in 1999.

Old school management was very much like Xerox, who invented point and click GUIs but never commercialized it - we all know where Apple and Microsoft took it.

If I were in Z's shoes and could not sell MEN, then I would go ahead and spin this out anyways, creating a separate company fully owned by Nortel. There are many advantages to doing this including retaining the customer base thats making the exodus due to uncertainity. This assumes the other business units are critical to growth.

Another option is to dump the wireless business because only CDMA is left. Either sell to Ericsson, Nokia or fold it into LG. MEN and Enterprise would be the two key units left.

Enterprise I think has value and there could potentially be a bidding war for it between Microsoft, IBM and HP. Nortel goes back to its roots of being a carrier compnay only.

tough to sell in this current environment. very tough. some players like Huawei will not even be allowed to pick up the business.

this could not have come at a worse time. I am surprised they announced it and have not announced a buyer in a month or even confirm talks with potential parties. My 2 cents is 'lots of interes' is just calls coming in and 'interested' parties have left the table now to focus on their own business. Nortel stock has dropped more than 50% so in a declining market, I would wait till the opportunity becomes even more attractive. i.e. Nortel becomes extremely desperate, valuation has gone below $1 billion.

This will happen as customers move away from Nortel optical, cash burn makes it difficult and creditors come calling.

At this point they should file chapter 11, restructure under bankruptcy, sell off long term debt, reduce facilities etc. this is the right time to do it since capital spending will be all time low so its not that carriers or enterprise are signing major deals anytime soon.

Nortel purchase today is $10 billion incl cash, debt, equivalents

MEN is 15% of Nortel in terms of sales. So a ballaprk price is $1.5 billion, which coincidently is 15% of total revenue and Nortel valuation.

The lower MEN revenue and Nortel revenue / share price goes, the lower the valuation.

I would peg the unit at $650 million as I would not pay for any Nortel debt baggage, which would be roughly $900 million allocated to MEN.

All I have to do then is wait till this sinks lower to about $500 million to get a really sweet deal.

massive discounting by Huawei. the main benefit will be for Rogers as frustrated customers will move over. Huawei has crap products, unstable software releases, hopeless tech support. only good thing it has is price. good luck running a network over their products.

wonder what the Gov of Canada will do when their information goes over a Chinese infrastructure, which has been known to be a security risk by other countries. The US Feds do not even think about going over Huawei let alone touching their equipment.

Edholm does not know what he is talking about half the time. Investment is slowing so unless there is a need, a really good value propostion with clear benefits such as ROI and new services, technology adoption will slow. Thats why Bell and Telus put in billions to go from their old wireless network to HSDPA from Nokia and Huawei.

PBT is going to disappear. Definitely nobody is going to upgrade or even rip out equipment unless benefits are proven e.g. energ savings. So on a positive note, Nortels 40G could be adopted (had it not announced selling the unit prematurely) as it uses the same infrastructure. Kudos when its needed.

There will be major discounting now which will impact margins. Even mghty Cisco will see its revenues and margins affected this year and next.

many nortel employees are still in dreamland. some are just dreaming that they will be comfortable for another 2 years. complacence thats what it is. most of the deadwood are scared of the real world out there having to work long hours, under the gun.

the really good nortel employees are usually laid off. the lazy, useless ones are usually well connected to survive another day. belive me there are a ton of these people hiding in team lead, architect, manager roles.

to the real good, hard working folks there is life outside. you will fare much better than staying in nortel, which is too ridiculous to call a for-profit company.

i know there are some hardworkng people - read my other post below idiot. check out any other co. noone has an environment lke nortel to go down and stand in the Tim Hortons coffee line for 15 mins and leisurely have their coffees. projects are spread over 1 year when the same thing can be done in 6 months.

most employees who do not want to move are staying put because its so easy. a lot leave at 3:30 and 4pm not even completing their 8 hours.

the ones dedicated are a small percentage now. if you are in that category then good for you.

how do you explain managers for releases, managers for tracking bugs, managersfor tracking features - come on. I bet company productivity is much lower than peer companies. otherwise youwould not have so many canned and failed products.

its a cultural thing at nortel which differ by location / group. there may be places where people work hard but I bet this is a very small percentage. look around you, speak to your peers in other biz units.

definitely the amount of work / pace in boston, california is much higher than locations like ottawa, beijing.

how many people do you genuinely think do 10 hour days or 60 hour work weeks. if it optimistically is even 50% of the company, it would be in much better shape.

I think it will fall into receivership after a couple of years. Cash will deplete from 1.3 billion in 2009 to almost zero in 2010. There is no more cash coming in. Debt is due. Maxed out on junk bonds. So once in receivership, it will be broken up for recycling.

About three years ago, when Zeroman came on board and employee asked him at a townhall when the cost cutting would end with a focus on profitability and growth. His response was it will happen as part of his turnaround plan.

Three years later we are still waiting to see a great play out of a GE / Motorola playbook. Nothing yet. Maybe the style of play has changed, or its not as effective or the team cannot do what their coach ask them to do.

I dont think its fair to blame everything on past management. Ownes got it to a point where the scandals were taken care off, set the timeline for sareholder lawsuits and got the books back to respectability. After that it has been Z's undoing.

As Biden rhetoric about Obama 'the world will test him in 6 months'. The same can be said about Z, and he has failed Nortel, its shareholders, customers and employees miserably. A CEO is supposed to have foresight, oversee strategy, make decisions and be accountable. Blaming it on past management, economy etc. only shows Zero accountability. How can you hold layers of management accountable, when the top guy himself is not.

the US dollar went up not because of the bailout but because the american dollar was getting pulled out globally. this led to a spike in us dollar demand which sent it up. the us dollar will go down again after a few months once commodities start rising again.

RIM is probably the crown jewel right now. So is biotech. For natural wealth yes agreed but the bureaucrats in government are not smart enough to realize that they sell natural resources dirt cheap only to buy finished goods from it, at a much higher price. iron ore to steel. crude to gas. potash to fertilizer.

smart governments keep the wealth within the country by getting companies setup processing, manufacturing to create jobs. one could argue its expensive. yes but not for the country producing it if it subsidizes its own taxpayers. thats what china does.

as an analogy, you will only make pennies on a garage sale. thats how the resources are being packaged off here. otherwise which country in the world would have its citizens pay 20-30% more for gas that comes from its own soil.

maybe some impact from the markets but even before the crash, stock price went down from the 5s to the 2s. that is a good indication of nortel value post announcement of faltering sales and men.

faling 50% from the 2s is an indication that most investors have given up and throwing in the towel. the major funds owning nortel must have dumped stock for sure.

when nov 10 results come in, unless there is a layoff announcement of 5000, the stock will go down again by 30-50%. because nortel itself said they had to sell a prized asset like men to bring in liquidity.

- create and move jobs to Canada instead of offshoring

I read an interesting publication from the Financial Post. They did a survey of 200 Canadian companies, CEO pay and ROI on CEO pay. Some facts:

1. Nortel is ranked 194 of the 200 companies.
2. Nortel has a rating of E- for performance, the worst of 10 companies with E-
3. CEO average 3 year pay is $20 million. CEO rating is $0.3
This means Z is overpaid and should only get 30% of his total pay
4. Nortel has declined 73.8% the 7th worst company of the 200
5. Nortel BOD Chairman Harry Pearce gets $600,000 compensation
6. Nortel is the worst performer in the IT sector and Telecom sector

Until these people are sacked or are stripped of their huge compensation packages, the Government should not even look at them. There are 193 reasons in better managed companies, some contribuing to Canada in much bigger ways.

There is no substance in your post. This seems to be the new face saving way at Nortel, talking abuout 100 years of history. Ok so what. What is Nortel doing substantively in Canada now? 20% of its workforce is in Canada. Most of its primary units are now outside Canada. This company has threatened Canada of leaving. It has wiped out pensions, retirement plans, funds.

Canada has a lot more options in sectors, companies who bring in revenue, create jobs and invest into the community. Beggars cant be choosers. Go beg elsewhere. India or China perhaps since Nortel moved most jobs there to win vaporware contracts.

they have to pay unless it is a performance issue that is well documented. since there is no documentation, they usually pay it out. HR does not even have performance records so there is no history.

they can transfer employees sold to another company. the other company has to keep the service with nortel if they layoff. or a new employment agreement that guarantees employment for some time.

a lot of these are also deferred to keep cash flow. so if the company goes bankrupt, these are unsecured and you to back to the line of all creditors.

under bankruptcy protection creditors cannot come after Nortels assets, cash, inventory etc. So if it does file bankruptcy and lays off people, they become very much like creditors. They cannot be paid. The absolute minimum legal obligation is 1 week for every year if some cash was allocated.

If not paid, laid off employees can go to court but since the company is under protection, they cannot get nothing. This is also unsecured like shareholders meaning last to get paid out if anything is left from asset liquidation if it happens.

It makes sense to take cash now. But the company cannot afford to hand out a lot of money upfront. 1300 jobs is 300 million. 5000 is 900 million. Tough situation looking at cash.

300 mill a quarter which is 1.2 billion + debt payments + deferred taxes + accounts payable etc. read the income statement and cash flow staements before you start posting.

you forgot a major expnse - your salary. 40% GM goes to pay R&D, SG&A each at roughly 20% of sales and other expenses. cash flow negative buddy. cash flow negative. find out one statement in the past 5 years where they were cash flow positive. maybe the one where Z got his little bonus.

Revenue has already fallen to below 10 billion and will continue in steep decline. are you one of those who estimate 3% YoY CDMA decline when it is 30%. ooops. ouch hurts does it not.

With capital expenses now at a minimum, MEN sales delayed due to long sale process and CDMA going down faster than a rock, no major LTE deployment for a couple of years, I'd say a really optimistic forecast is 9 billion. more likely 7-8 billion. if the economy is as bad or worse than it is, this could even tank to 6-7 billion. the middle line, interest, taxes etc. still remain the same.

some of nortels largest customers are gone. morgan stanley, bear stearns, lehman. thats a lot of accounts receivable that will get written off. there are more bankruptcies coming and unless there is a way to get payment, there definitely will be a lot more bad debt.

It clearly looks like Pavi is cleaning house with two back to back quarters of heavy losses. So the writing is pretty much on the wall.

Disagree with Duncan. Usually Q3 and Q4 are strongest quarters for Nortel. Q3 really tanked big time. Q4 will be as good or worse around $2 or 2.3 billion.

The realignment may be a sign that they are thinking about BK. If they are putting sales, r&d, marketing, services back in the 3 business units, then each one is standalone. It looks like they will selloff or spin out the divisons. The weakest link in the chain will be left as Nortel with the pensions, debt and tax burden. This would be easy to fold under BK.

When Cisco was pushing Green more than a year ago I had asked Nortel executives about marketing energy savings. Most said they did not want to go down that road as power consumption was way higher. Thats why the energy calculator is only on some enterprise boxes. Maybe they do better or not who knows. Cisco marketing is well known for pushing things that do not work so I do not trust Cisco either.

With sub $50 gas prices, who cares. Americans will go back to their spending ways.

good news. hopefully high profit margins. but it does not say how large a network or number of elements or $$$. Mediacom network looks like 3 chassis and a few blades. I cannot believe its a massive network they way the release sounds. Surf looks like a small deployment as well.

So good news but dont think its major stuff. Look at huawei deploying 40g. they are winning big deals. also they now have traction in north america.

Huawei is #7 in North America and climbing. Although I hate them, they will be #3 soon. Its only a matter of time before they penetrate the top tier accounts. they won a big deal in Russia. go check it out.

Nortel folk will never change. always thinking technology is better and people will come running to you.

its marketing.
its sales.
its good leadership that can execute.

Nortel has none of the above. your sales and marketing folks cannot even defend their solutions. What happened to that PBT stuff? Flushed down the toilet I hear.

Quality of service. Yeah Nortel overbloated processes screw up their customers with people in infinite number of teams who cannot deliver. Lets not open a can of worms.

6 figure salary they get is puny when compared to what the top dogs get. Its pocket change. Compare a line manager at 120000 to 500000 for a board chairman attending 16 meetings likely 1 hour each, of which at least half must be going thumbing his little corporate Blackberry.

On question 8 below NT low price is what NT is worth. It has nothing to do with AAN, propaganda, haters etc. Going by the same thought, if we were all to do a song and dance on NT, do you think it will go back to $30. Come on. NT is worth 0 and many analysts have said so.

What can you say about a company that generates over 10 billion but not a single cent in profit going to the bank?? And people think AAN is responsible?

Only management and the board are responsible. You cannot blame this on economy, shareholders, media, NT employees, customers. If you did, there is no need for management or a board.

looks like they are saturated and in flat or declining mode. they succeeded in taking out two major nortel products with a partnership 9 years ago. they pretty much burned the bridge with nortel. so I dont think juniper will get anything.

I think such site is definitely needed...may be in a bit different form. There should be few good sites that voice entrepreneurs' experiences with VC community. If one entrepreneur had really bad experience with a VC, that should be known to other entrepreneurs.

A platform for entrepreneurs is definitely needed to balance and keep VCs in check. It is a fair game. Some VCs are there just to "buy" the ideas.

Most VC forget that they are playing with Other People's Money while entrepreneurs are risking something of their "OWN".

Of course there are good and bad entrepreneurs just like good and bad VCs but balance is tilted towards investment community rather than entrepreneurs

I have many reasons for NOT using PAYPAL - first I don't use credit cards, second I don't use cheques, third, I will not divulge any of my bank account details to anyone. PAYPAL has been hacked at least once. Either I use Cash, or I will make the effort to use Postal Money Order or a Bank Draft - all of which are cheaper and more secure , in my mind at least, than credit cards or other online payment methods. Sorry, but PAYPAL is just another money making scheme and puts my personal information at risk.

The city is already paying more in overtime as of February hen they laid off a dispatcher. That person was "bumped" by someone who did the job 18 years ago and has to be "trained" for over six months and sent to a 3 week POST academy (mandated by state law). Since the 911 center was already short due to a frozen position and there was overtime every month, the loss of a seasoned employee with a trainee created even more overtime. Ask them if this senior employee is done with training or are they still incurring overtime to train them. Now factor in more OT to cover "furlough" days so that some people get a "unpaid" day off while others come in for time and a half ... there's government thinking at its best.

Mr Bone and the dispatch ... do a little inquiry and see how much the city paid in overtime every month for their 911 center prior to 2009 and how much since the layoffs ... you might be surprised.

Considering how much the city pays for 911 employees (including benefits) ... how much did the city pay this employee they laid off for however many years they worked for Gilroy only for them to take that experience and use it at another agency? Nice money spent making sure other agencies have fully trained and qualified personnel.

Gilroy is the prime example of "good ole boys" and backdoor handshakes, selective ethics and "everything we have come to expect from years of government training".

Because i live in solapur, which has popultion of 1 million. we face daily 5 hrs of loadshading. In nearby villages 12 hrs of loadshading in a day, farmers and middle class ppl face sever problems because electricity comes only at night.

last year only around 4500 farmers committed suicide in one region of maharashtra. what pride you are talking about....

Some politician raised the point that we cant do nuclear test. i think if we dont do nuclear test its ok , because we have nuclear power and we dont need to test it every day in future ...

Biggest fight is with the demand of energy and no body knows from where they are going to manage it. some years ago there was order from the high court about interlinking of river project. But no progress at all.... even they start working on it there are tons of issues (for example. environmental and many ...) and i think it will take 10 year or may be 20 years.

it is no ones loss, honestly - anurag was lured in by the brand, position and of course CTC, he wanted to do lot of radical and enterpreneurial approach for connecturf, while connecturf needed a person who consolidates and gets them back to where you were because of the earlier exodus. U did not need people with great knowledge(PROFESSOR kinds) but driver of revenue.

Anurag, clearly in two months after joining CONNECTURF time must have realised that his enterpreneurial skills are not going to work here as CONNECTURF needed someone to go up in the market get their hands dirty. But temptation of getting a lot from CONNECTURF probably made him postpone his decision.

anurag is better of teaching in IIM's of INDIA and sharing his knowledge on the internet but driving business and revenue model from a branch office is not his forte.... he could not have done it, but he chose to stay for reason better known to him. Anurag either knew that he could not be profitable (tangible or intangible) in his role - he was either told about this by current management or realised it on his own and chose to leave.

Anurag - due respects to u pal, i am sure u will make the right choices this time and will be an asset for the upcoming venture.

Ramani - it is far far far from being over and people bitching about u, only ur actions can prove and u need to get people on board who are passionate on business and revenue, i know u r doing it, but may be another level of push and all the piss-farting people will keep their mouth shut.

CONNECTURF is a great brand, there are a few hiccups which will be ironed out soon. People leaving in quick succession on on the outset is something that company definetly needs to look in to, but it has few great resources who need to swim against the tide.

Being an insider of the firm, i understand the bottle necks it faces (TOP HEAVY, and turning a blind eye to reality) but there are couple of key resources who can swim against the tide.

Among the many people who have quit is only a good thing, as people who have left have been asked to leave as the first concern (TOP HEAVY) is being addressed, next also will be addressed.

I'm sure another couple of things getting it right, CONNECTURF will consolidate (it may not bounce back to having the 60-70% market share) but it cannot be ignored.

They have had a first movers advantage which is slipping, but alls not over.

BTW to add to it, they have woken up, woken up. time for the "WELL WISHER" to understand that.

Why is a BIG DEAL made out of people leaving company? I guess it is omnipresent and happening everywhere , if 5 people have left CONNECTURF, 3 people have also joined them .

DON'T MAKE AN ISSUE OUT OF TISSUE. RAMANI need NOT participate in this forum to clarify anything to any "WELL WISHER". WELL WISHER has right to express his opinion but sadly he is concluding 2+2 = 22 which is not the case.

ANURAG, LD and JD were not indispensible for CONNECTURF and they were in the company for only 7-9 months odd. When CONNECTURF survived the planned yet cowardly exit of 30 odd people who worked for many years , they can survive these 3 people pretty easily.

Ramani - i repeat again pure focussed actions buddy, and u will have the last laugh, u had 70% clients with you, even if u get 30% that will speak for itself, but time for you not rest on your previous laurels but to make a fresh start, neville will be a pure asset who is disciplined, focussed realistic and u are radical and flamboyant (u need to be more available for ur employees and be realistic) - together u can change the name of the game and i am going to support you from a distance.
