Yes, MZ can be sued. Suing him as a member of the board is easier than suing him as CEO. It won't hurt him personally because all officers of Nortel are insured against such lawsuits. However, if the insurance company feels that lawsuits are coming, they can apply pressure to the board to act.

- 3,000 to 5,000 layoffs accrued in 2008, Second wave of 3,000 in 2009. 2,000 jobs to be shipped overseas
- 50% of 2nd level executives roles will be eliminated
- MZ Cabinet members to step down: Head of Sales, CMO, Services President, CSO, CTO, Operations to be split in 2, dramatic reduction in finance, HR and other support functions (i.e.: Six Sigma/quality)
- Creation of two business divisions, Enterprise and Carrier. Each of them as independent business units, including sales, operations, services and R&D.
- Sales Regions to be combined, existing some countries
- 10% - 15% sales force reduction in NA
- MEN, Wireless and Carrier wireline for sale.
- Nortel Government Solutions for sale.
-2008 outlook: revenue down by 10% compared to 2007.
- Book to bill ratio: 0.5
- Cash position very weak....$2.0B+
- Carrier R&D reduced to maintenance level only. No new products/development.

NT is trading at the $1 level or 10 Cents pre rspit at $500 mill market cap.
I think Q3 CC would be the last one for Mike Z. as well. There is no reason for him to stay.
All that 3G exit strategy (leapfrog), focusing on WiMax and LTE, refocusing on WiMax and LTE (de-risking!), monetizing assets, single digit growth false expectations... the list of failures is endless
How he could not know that 4G was just a buzzword and will remain buzzword for another 4,5 years?
How he could not know that Nortel cannot grow with new orders declining 25% in Q2?
His failures are well presented on NT stock chart.
It's clear for me from the investor's point of view.
He took NT from $36 to $1
He will get his millions no matter what anyway.
