One of the current debates I'm seeing is the right to have the pro-rata exercised by a VC firms LPs. A number of seed funds, who've run out of follow on, t have had their pro-rata taken up by the one or two institutions in their LP structure (usually not the full LP group). Usually these aren't huge amounts but I've had a few entrepreneurs discuss how they can stop it from occurring using the shareholders agreement.

While everyone talks about the Seed VC's coming online it really is the Pro-Rata funds that the LP's are creating that means a fundamental shift in how LP's view their involvement and relationships with GP's. This will put an added squeeze on VC's existing structures, because of this.

In my experience its really dependant on where you are in the fund lifecycle. But I if I were to guess at my time allocations, I think I generally adhere to 70-30 rule on new versus support.

I ask the Validation question twice, with an emphasis the how you validated and how you could validate it again but differently. Most startups fails at this, and I need to make sure I believe the thesis.

The two Rho deals mentioned were done by Rho Canada, which is not based in New York but in Mtl with three Canadian Partners and has mostly Canadian LP's.

This is a symptom of the 'fake it till you make it' culture in today's early stage startups. Faking it seems to apply to honesty a lot now too.

I'd say Michael is one of the most phenomenal entrepreneurs who met with our team. We learned more than we imparted or could share with his massive industry experience, he's also a bit of a unicorn having successfully founded and exited his previous company.

I'd also point out he hired a former VC as his CPO, so we're good hires in the first three years at least. :)

Shopify also picked up Select Start last year for their mobile team. These teams all had one thing in common, they had all developed a product, pushed it out to customers and were savvy on how they worked with partners and mentors.

I'd probably put OMERS across seed, series a and B.

With Inovia, relay with bdc(us) and Rho under seed and A rounds. I'd place both mars iaf and innovacorp in the seed round not under acclerators as they both are investment vehicles - with a geographic focus (Ontario and Atlantic). Jolt is the iaf's accelerator. Next 36 Under accelerators. Round13 under seed.

As year one labs is no longer active I'd probably remove them, even though they did a great job.

You Might want to add Valar ventures(seed) they've been pretty active and can only invest outside of the US.
